Terms of Trade

1. Introduction

These Terms of Trade ("Terms") govern the supply of fruit and related services by FTFoodStuff ("we", "us", "our") to any business customer ("you", "the buyer") placing an order through our website, email, phone, or trade desk. By placing an order or opening a trade account, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Trade-Only Supply

FTFoodStuff operates strictly as a business-to-business (B2B) wholesale supplier. We do not sell to consumers. By placing an order, you confirm that you are purchasing on behalf of a registered business and that the goods will be used for commercial resale, food service, or further distribution — not for personal use.

3. Orders and Acceptance

All orders are subject to acceptance and availability. An order is only confirmed once you receive written confirmation from us via email or phone. We reserve the right to decline any order at our discretion without explanation.

• Minimum order: 100 kg per delivery across a mixed order (individual lines may carry higher minimums).
• Cut-off times: Orders placed before 2:00 PM are eligible for next-day dispatch. Later orders are scheduled on the next available route.
• Substitutions: If a variety is unavailable, we may offer a similar substitute unless you specify "no substitutions" on your account.

4. Pricing and Quotations

Because wholesale fruit prices fluctuate with season, market rates, and origin, we do not publish fixed prices. Every trade account receives a personalised quote. Quotes are valid for 7 days from the date of issue unless stated otherwise.

Prices quoted are exclusive of applicable taxes, duties, and delivery charges (unless expressly stated). Volume tiers are reviewed quarterly and adjusted based on consistent order volumes.

5. Payment Terms

• New accounts: Prepaid on first three orders.
• Approved trade accounts: Net 30 days from invoice date.
• Late payments: Subject to a service charge of 2% per month on overdue amounts, plus recovery costs.
• Method: Bank transfer, card, or other method agreed in writing.

6. Delivery

We deliver on scheduled routes to agreed delivery windows. It is your responsibility to ensure safe, accessible offloading at the delivery point and to provide a person authorised to receive the goods.

• Delivery is deemed complete when goods are offloaded at the specified address.
• Risk of loss or damage passes to you on delivery.
• Missed deliveries caused by inaccessible premises, refusal to accept, or failure to provide a receiving person may incur a redelivery fee.

7. Quality, Grading, and Claims

All fruit is graded to the specification agreed at the time of order (for example, Class A, Premium, or Juice Grade). We inspect every crate before dispatch.

If a delivery does not meet the agreed specification:

• Notify us within 24 hours of delivery with photographs of the affected goods.
• Keep the goods available for inspection (do not dispose of them until we have responded).
• We will replace the affected line on the next route or issue a full credit at our discretion.

Claims submitted after 24 hours may not be accepted.

8. Title and Risk

Title to the goods remains with FTFoodStuff until full payment has been received. Risk passes to you on delivery. Until title passes, you must store the goods separately and clearly identify them as our property.

9. Cancellations and Returns

Orders may be cancelled free of charge up to 24 hours before the scheduled dispatch. Cancellations within 24 hours of dispatch may incur charges covering picking, packing, and logistics costs already incurred.

Returns are only accepted in accordance with clause 7 (Quality, Grading, and Claims). We do not accept returns for change of mind.

10. Force Majeure

We are not liable for failure or delay in performing our obligations where the cause is beyond our reasonable control — including but not limited to extreme weather, crop failure, transport disruptions, strikes, import/export restrictions, or government actions. In such events, we will notify you promptly and work with you to agree an alternative arrangement.

11. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability to you in respect of any order is limited to the value of that order.
• We are not liable for any indirect, consequential, or economic loss (including loss of profit, goodwill, or business opportunity).
• Nothing in these Terms excludes liability that cannot be excluded by law.

12. Intellectual Property

All content on this website — including text, images, logos, and the FTFoodStuff brand — is owned by or licensed to us. You may not reproduce, distribute, or use it commercially without our prior written consent.

13. Confidentiality

Each party agrees to keep confidential any commercial information disclosed by the other in the course of trading, including pricing, volumes, and account terms. This obligation survives termination of the trading relationship.

14. Termination

Either party may terminate the trading relationship at any time by giving reasonable written notice. We may suspend or terminate your account immediately if you breach these Terms, fail to pay on time, or engage in fraudulent or unlawful activity.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FTFoodStuff is registered. Any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. The version published on this page at the time of your order applies. Continued use of our services after any update constitutes acceptance of the revised Terms.
